Flash Grüb™ Inc. (“Flash Grüb,” “we,” “us,” or “our”) is a Delaware corporation. These Terms of Use (“Terms”) govern your access to and use of our mobile app, website, and participation in our early access or pilot programs (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1. Who May Use the Service

The Service is currently in early access / pilot stage and limited to invited users. Eligible users include:

  • Businesses offering surplus food
  • Buyers participating in the resale program

You must be at least 13 years old to use the Service.

2. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Misrepresent your identity or affiliation
  • Violate any applicable law or regulation
  • Reverse-engineer, scrape, or attempt to access backend data
  • Upload false, misleading, or harmful information

We reserve the right to suspend or terminate access if you violate these Terms or misuse the Service.

 

3. Early Access / Pilot Program Disclaimers

  • Participation in the early access or pilot program is voluntary. Users may withdraw at any time.
  • By using the Service, you consent to the collection and use of your data as described in our Privacy Policy.
  • Features may change, break, or become unavailable without notice.
  • Payment processing during early access is handled via Stripe sandbox/test
    credentials.     Flash Grüb does not store real credit card information. Users agree to Stripe’s Terms of Service, Privacy Policy, and Security Guidelines.
  • Analytics and Tracking: During early access, some data may be collected for internal testing on the app and temporary development environments. At full launch, analytics will be handled via secure cloud infrastructure (e.g., AWS, Firebase). We use anonymous IDs for analytics and DaaS reporting; login credentials remain protected and are never shared or linked to analytics data.
  • Data collected is used to improve the early access experience, gather feedback, and support internal testing and operational evaluation.
 

4. Third-Party Role / Liability

Flash Grüb acts solely as a technology platform connecting users and businesses:

  • We do not prepare, handle, or deliver food, and have no control over the quality, safety, or suitability of products or services.
  • Users engage directly with businesses. Flash Grüb is not liable for any claims, damages, losses, or disputes arising from these transactions, including food-related issues.
  • Any disputes between users and businesses must be resolved directly between the parties.
 

5. Intellectual Property

All content, branding, and technology associated with the Service are the property of Flash Grüb Inc. or its licensors. You may not copy, distribute, or exploit any part of the Service without prior written consent. All rights not expressly granted are reserved.

 

6. Privacy / Account Deletion

Our Privacy Policy explains how we collect, use, and store your data during early access.

  • General users: No account registration is required; no personal data is stored.
  • Pilot testers: You can permanently delete your account and all associated personal
    information via the app. Some information may be retained as required by law.

By using the Service, you agree to the terms in our Privacy Policy.

 

7. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided “as is” without warranties of any kind.
  • Flash Grüb is not liable for any indirect, incidental, or consequential damages, including issues arising from food products, services, or transactions between users and businesses.
 

8. Changes to These Terms

We may update these Terms to reflect changes in the Service or applicable law. Material changes will be communicated to early access users. Continued use of the Service indicates acceptance of the updated Terms.

 

9. Governing Law

These Terms are governed by New York State law. All disputes shall be resolved in state or federal courts located in New York, NY.
